Last updated: 12 October 2026
1. Parties and acceptance
1.1 These Terms of Service ("Terms") constitute a binding agreement between you and 17967519 Canada Inc., a corporation incorporated under the laws of Canada, having its registered address at 240 Richmond St. W., Toronto, Ontario M5V 1V6, Canada ("Company", "we", "us", "our").
1.2 The Company operates the brands, products and services known as Perimenopause Bestie, the websites at alja.app and perimenopausebestie.com, and the software application known as ALJA (collectively, the "Service"). Perimenopause Bestie and ALJA are trading names and product names of the Company and are not separate legal entities.
1.3 By accessing or using the Service, creating an account, or clicking to accept these Terms, you agree to be bound by them. If you do not agree, you must not access or use the Service.
1.4 These Terms incorporate by reference the Privacy Policy and the Refund Policy.
2. Definitions
2.1 "Account" means a registered ALJA user account.
2.2 "User Content" means any information, data, text, notes, logs, entries, records or other material that you submit to, record within, or generate through the Service.
2.3 "AI Output" means any text, summary, observation, pattern, classification or other material generated by an artificial intelligence model within the Service.
2.4 "Subscription" means a paid recurring membership to ALJA, where and when offered.
2.5 "Founding Beta" means the invitation-only, pre-commercial program during which ALJA is made available without charge to a limited number of persons selected by the Company, as described in section 7.
2.5.1 "Waitlist" means the register of persons who have provided their contact details on alja.app or perimenopausebestie.com to express interest in ALJA. Registration on the Waitlist is free and does not of itself confer access to the Service, participation in the Founding Beta, or eligibility for founding member pricing.
2.5.2 "Founding Member" means a person who was invited by the Company to participate in the Founding Beta, accepted that invitation and created an Account during the Founding Beta, and who is eligible for founding member pricing under section 8.7.
2.6 "Connected Health Source" has the meaning given in the Privacy Policy.
3. THE SERVICE IS NOT MEDICAL CARE
3.1 THE SERVICE PROVIDES EDUCATIONAL INFORMATION AND SELF-MANAGEMENT TOOLS. IT DOES NOT PROVIDE MEDICAL ADVICE, DOES NOT PROVIDE A DIAGNOSIS, AND IS NOT A SUBSTITUTE FOR ASSESSMENT, DIAGNOSIS OR TREATMENT BY A QUALIFIED HEALTHCARE PROFESSIONAL WHO IS FAMILIAR WITH YOUR CIRCUMSTANCES.
3.2 Without limiting section 3.1:
(a) the Company does not diagnose any condition, prescribe or adjust any treatment, or practise medicine;
(b) no physician-patient, practitioner-patient or other therapeutic relationship is created by your use of the Service;
(c) the Bestie feature is software. It can be incorrect, it can misinterpret what you tell it, and it has no knowledge of matters you have not disclosed to it;
(d) information concerning hormone therapy, supplements, nutrition, physical activity or any other subject is provided so that you may participate more effectively in discussions with your own healthcare professional, and not as a substitute for consulting one;
(e) you must not delay seeking medical care, and must not disregard advice you have received from a healthcare professional, by reason of anything contained in or generated by the Service; and
(f) safety messages shown by the Service are produced by fixed rules that match words you type. They are a prompt to seek care, not an assessment, and their absence does not mean that no care is needed.
3.3 EMERGENCIES. IF YOU BELIEVE YOU MAY BE EXPERIENCING A MEDICAL EMERGENCY, CONTACT YOUR LOCAL EMERGENCY NUMBER OR ATTEND AN EMERGENCY DEPARTMENT IMMEDIATELY. DO NOT USE THE SERVICE AND DO NOT AWAIT A RESPONSE FROM THE COMPANY.
3.4 Intended purpose. The Service is intended to enable you to record information concerning your own health, to access general educational information concerning the physiological mechanisms associated with perimenopause, to organize your own goals and plans, and to prepare for consultations with qualified healthcare professionals. The Company represents the Service as having no purpose beyond those stated in this section.
3.5 All decisions concerning your health are yours and those of your healthcare professional. You use the Service and any information obtained through it at your own discretion and risk.
4. Artificial intelligence: limitations
4.1 Portions of the Service generate AI Output. You acknowledge and agree that:
(a) AI Output may contain inaccuracies, material omissions, or information that is incomplete or out of date, and may be expressed with apparent confidence notwithstanding that it is incorrect;
(b) AI Output does not constitute a diagnosis, an individualized treatment recommendation, or professional advice of any kind, irrespective of its specificity or of the extent to which it refers to your own recorded history;
(c) patterns, correlations, summaries and classifications presented by the Service are observations derived from your own recorded data, and are shown only once the Service holds enough of your data for the observation to be counted, according to thresholds the Company publishes with the Service. A statistical association does not establish causation; and
(d) you must verify any matter that would affect a health decision with a qualified healthcare professional able to assess you directly.
4.2 The Company does not warrant the accuracy, completeness, currency or fitness for any purpose of any AI Output.
5. Eligibility
5.1 You must be 18 years of age or older to create an Account, to use ALJA, or to submit health-related information to the Service.
5.2 By creating an Account you represent and warrant that you are 18 years of age or older and that you have the legal capacity to enter into these Terms.
5.3 The Company may terminate any Account it determines, acting reasonably, to be held by an individual under 18 years of age, and will delete the associated information.
5.4 Where the Service is offered. The Service is offered to residents of Canada and the United States. During the Founding Beta, and until the Company publishes a French-language version of these Terms and of the Privacy Policy, the Service is not offered to residents of the Province of Quebec; and, until the Company publishes a consumer health data privacy policy meeting the requirements of Washington law, the Service is not offered to residents of the State of Washington. By creating an Account you represent that you do not reside in a jurisdiction where the Service is not offered. The Company may ask you to confirm your province or state before issuing an invitation.
6. Accounts and security
6.1 You must provide accurate information when creating and maintaining an Account.
6.2 You must take reasonable steps to safeguard access to your Account, including keeping your password confidential and safeguarding the email account to which sign-in and password-reset links are sent, and must not share access with any other person.
6.3 You must notify the Company promptly at hello@alja.app upon becoming aware of any actual or suspected unauthorized access to your Account.
6.4 You are responsible for activity carried out by you or authorized by you under your Account. You are not responsible for unauthorized use that you could not reasonably have prevented, provided you notify the Company promptly upon becoming aware of it.
6.5 The Company may suspend or terminate an Account in accordance with section 15.
7. The Founding Beta
7.0 Participation is by invitation. The Founding Beta is open to a limited number of persons selected by the Company from the Waitlist and invited individually. In selecting participants the Company may consider, among other things, the information a person provides at registration, the Company's need for feedback across a range of stages and experiences, and its capacity to support participants at any given time. Selection is at the Company's sole discretion. Registration on the Waitlist does not entitle you to an invitation, to participation on any particular date, or to founding member pricing. The Company does not select participants by lottery, draw or any other game of chance. The Company may limit the number of participants, pause or resume invitations, and conclude the Founding Beta at any time on notice under section 7.2.
7.1 ALJA is presently made available in a Founding Beta. During the Founding Beta:
(a) the Service is provided without charge;
(b) the Service is under development. Features may be added, altered, suspended or withdrawn, and defects should be expected;
(c) availability is not guaranteed. Interruptions may occur, and data may require migration or reset in the course of development;
(d) you should retain your own copies of any material of importance to you. The Company employs infrastructure with backup capability but does not warrant that the Service is a sufficient sole repository for information of importance; and
(e) feedback you provide, including defect reports and feature suggestions, may be used by the Company to develop and improve the Service without obligation, attribution or payment to you. Use of feedback to improve the Service does not constitute permission to publish it. Publication is governed by section 10.
7.2 The Company will give existing Founding Beta participants notice before the Founding Beta concludes or before any paid membership commences. No charge will be applied to you without your active election to subscribe.
7.3 Persons on the Waitlist who are not invited to the Founding Beta will be notified when paid membership becomes generally available and may subscribe at the standard rate then current. Nothing in these Terms obliges the Company to offer founding member pricing to any person other than a Founding Member.
8. Fees, Subscriptions and renewal
8.1 Paid membership is not presently offered. Where and when the Company offers paid membership, the following apply.
8.2 Prices. Prices are stated, and charges are applied, in United States dollars (USD), and are displayed before purchase. Prices are exclusive of applicable taxes unless stated otherwise. Your card issuer may apply currency conversion or foreign transaction charges, which the Company neither controls nor reimburses.
8.3 Automatic renewal. Subscriptions renew automatically for successive terms at the then-applicable rate until cancelled in accordance with section 8.5.
8.4 Price changes. The Company may amend Subscription prices. Existing subscribers will be given advance notice and an opportunity to cancel before any amended price takes effect for them.
8.5 Cancellation. You may cancel a Subscription at any time through your account settings, which provides access to the payment processor's billing portal. Cancellation prevents the next renewal; it does not of itself constitute a request for a refund of a charge already applied. Refunds are governed by the Refund Policy.
8.6 Failed payment. Where a payment fails, access to paid features may be suspended until payment is successfully made.
8.7 Founding member pricing. Founding member pricing is available only to Founding Members who elect to subscribe within the period stated in the notice given under section 7.2. Where the Company offers founding member pricing:
(a) the base recurring rate applicable at the time of your subscription will continue to apply for so long as your Subscription remains continuously active;
(b) the rate ceases to apply where the Subscription lapses for any reason, including cancellation or non-payment not promptly cured, and any subsequent subscription will be at the rate then current; and
(c) the rate applies to the base recurring price of the membership plan only. It does not apply to taxes, to separately purchased one-time products, to optional add-on services subsequently introduced, or to a different plan to which you elect to move; and
(d) the rate is personal to the Founding Member and may not be transferred or assigned.
8.8 Indicative pricing before launch. Any standard or founding price stated on alja.app, perimenopausebestie.com or in Company communications before paid membership is offered is the Company's present intention and is provided for transparency. The price that applies to you is the price displayed to you at the time you subscribe. Once you have subscribed, sections 8.4 and 8.7 govern any change.
9. Acceptable use
9.1 You may use the Service for your own personal purposes, including recording your own health information and exporting your own data.
9.2 You must not:
(a) copy, resell, redistribute, sublicense or republish Company content, including guides, the library and guided programs, whether as your own or as part of any offering;
(b) scrape the Service, or employ bots, crawlers or automated systems against it;
(c) circumvent, disable, probe or test any security measure, rate limit or access control;
(d) access or attempt to access any account or data other than your own;
(e) use the Service to harass any person or to upload unlawful material;
(f) use the Service, or any AI Output, to provide medical advice to any other person; or
(g) represent Company content as clinically endorsed or as originating from a licensed healthcare professional.
10. User Content, feedback and testimonials
10.1 Ownership. As between you and the Company, you retain all ownership of your User Content. The Company claims no ownership interest in it.
10.2 Licence. You grant the Company a limited, non-exclusive, royalty-free licence to host, store, process, transmit, display and back up your User Content solely to the extent necessary to operate, secure, maintain and provide the Service to you, including to generate your summaries and observations.
10.3 Termination of licence. The licence in section 10.2 terminates upon deletion of the relevant User Content or of your Account, save in respect of copies retained temporarily in backups or retained as required by law, as described in the Privacy Policy.
10.4 Private communications. Correspondence you send to the Company, including support messages, defect reports, survey responses and email replies, is private. It does not constitute permission to quote, publish or attribute you.
10.5 Testimonials. The Company will obtain your prior express permission before using any identifiable statement of yours in marketing or other public materials, and will do so in every case where the statement concerns your health.
10.6 Company intellectual property. The Perimenopause Bestie and ALJA names and logos, the Bestie name, all written content, guides, guided programs, the library, and the software comprising the Service are the property of the Company or its licensors and are protected by copyright, trademark and other laws. Your use of the Service grants you a personal, non-transferable, non-sublicensable, revocable licence to access and use that material for your own personal purposes only, and grants no ownership interest.
11. Third-party services
11.1 The Service depends upon third parties, including providers of hosting, database, email, artificial intelligence processing and payment services, as identified in the Privacy Policy.
11.2 Those third parties operate under their own terms. Interruptions, alterations or degradations in their services may affect the availability or operation of the Service.
11.3 Nothing in this section limits the Company's accountability for personal information processed on its behalf by a service provider, which is governed by the Privacy Policy and applicable privacy legislation.
11.4 Links to external websites are provided for reference only. The Company neither controls nor endorses their content.
11.5 Connected Health Sources. Where the Service offers to import measurements from a Connected Health Source:
(a) connection is optional. The Service is complete without one, and the Company will never require you to own a device or to connect a source;
(b) by connecting a source you authorise the Company to read from it the categories of information you select, on the terms described in the Privacy Policy, and you represent that you are entitled to grant that access;
(c) your use of the source is governed by its operator's terms. The Company is not responsible for the source's availability, accuracy, or changes to its interfaces, and may suspend or withdraw support for a source;
(d) measurements from a device or application are the product of that device or application. The Company does not verify them, they may be incomplete or wrong, a night with no reading is treated as unknown rather than as zero, and a source's proprietary score is shown as that source's score and not as a measurement of your health; and
(e) you may disconnect a source, or delete what it imported, at any time in Settings.
12. Disclaimers
12.1 Subject to section 12.3, the Service is provided "as is" and "as available", without warranty or condition of any kind, whether express, implied or statutory, including any implied warranty or condition of merchantability, fitness for a particular purpose, title, or non-infringement.
12.2 The Company does not warrant that the Service will be uninterrupted, timely, error-free or secure against every threat, or that any information within it is complete, current or applicable to your particular circumstances. Health science develops, and the Company updates its content as it does so.
12.3 Nothing in this section operates to exclude, restrict or modify any guarantee, warranty, condition or right conferred by applicable consumer protection legislation which cannot lawfully be excluded, restricted or modified. If you are a consumer, your statutory rights are unaffected.
13. Limitation of liability
13.1 Subject to section 13.3, and to the fullest extent permitted by law, the Company will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, nor for loss of profits, loss of revenue, loss of data, or loss arising from decisions taken in reliance upon the Service.
13.2 Subject to section 13.3, and to the fullest extent permitted by law, the Company's aggregate liability arising out of or relating to the Service, whether in contract, tort (including negligence), statute or otherwise, is limited to the greater of: (a) the total amount you paid to the Company in the twelve (12) months preceding the event giving rise to the claim; and (b) one hundred United States dollars (USD $100).
13.3 Nothing in these Terms excludes or limits liability which cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability which applicable law does not permit to be excluded. If you are a consumer, your statutory rights are unaffected.
14. Indemnification
14.1 To the extent permitted by applicable law, you will indemnify the Company against third-party claims, and reasonable legal costs directly arising from them, to the extent caused by:
(a) your unlawful or intentional misuse of the Service;
(b) your material breach of these Terms; or
(c) your infringement of the intellectual property or other rights of any third party.
14.2 Section 14.1 does not apply to the extent that the claim arises from the Company's own act or omission, and does not apply where applicable consumer protection law prohibits such an obligation.
15. Suspension and termination
15.1 By you. You may cease using the Service and close your Account at any time.
15.2 By the Company. The Company may suspend or terminate your access where: (a) you materially breach these Terms; (b) your use presents a risk to other users, to any person, or to the Service; (c) the Company is required to do so by law; or (d) the Company ceases to operate the Service.
15.3 Notice. Save where prohibited by law or where immediate action is necessary to prevent harm, the Company will give you notice of suspension or termination and the reason for it.
15.4 Data export on termination. Where the Company ceases to operate the Service, it will give reasonable advance notice and a means of exporting your data before doing so. Where an individual Account is suspended or terminated, the Company will endeavour to provide a means of exporting your data, save where doing so would be unlawful, would compromise the security, privacy or rights of another person, or is not technically practicable.
15.5 Survival. Sections 2, 3, 4, 10.1, 10.3, 10.6, 12, 13, 14, 16 and 17 survive termination, together with any other provision which by its nature is intended to survive.
16. Amendments
16.1 The Company may amend these Terms from time to time.
16.2 Where an amendment is material, the Company will notify registered Users by email, revise the "Last updated" date, and give reasonable advance notice before the amendment takes effect, so that you may close your Account and export your data if you do not wish to continue.
16.3 Where applicable law requires your express agreement to an amendment, the Company will obtain that agreement rather than infer it. Continued use will not be treated as acceptance of a material amendment where the law requires express agreement.
16.4 The Company will not apply an amended term retroactively to a Subscription period already paid for where to do so would contravene applicable consumer protection legislation.
17. Governing law and disputes
17.1 These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
17.2 The courts of the Province of Ontario have jurisdiction over any dispute arising out of or relating to these Terms or the Service.
17.3 Consumer carve-out. Where you are a consumer resident outside Ontario, nothing in sections 17.1 or 17.2 deprives you of the benefit of any mandatory consumer protection provision of the law of your place of residence, nor of any right you may have to bring proceedings in the courts of that place.
17.4 Informal resolution. Before commencing proceedings, please contact the Company at hello@alja.app. Most matters are resolved in a single exchange.
18. General
18.1 Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be severed or limited to the minimum extent necessary and the remaining provisions remain in full force.
18.2 No waiver. A failure or delay in enforcing any provision does not waive it.
18.3 Assignment. You may not assign or transfer these Terms without the Company's prior written consent. The Company may assign these Terms in connection with a merger, acquisition, financing or sale of assets.
18.4 Entire agreement. These Terms, together with the Privacy Policy and the Refund Policy, constitute the entire agreement between you and the Company concerning the Service and supersede all prior understandings concerning its subject matter.
18.5 Notices. Notices to the Company must be sent to hello@alja.app. Notices to you may be sent to the email address associated with your Account.
18.6 Force majeure. The Company is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control.
18.7 Language. The parties have required that these Terms be drawn up in English. Les parties ont exigé que la présente convention soit rédigée en anglais.
